Welcome to TranscoLabs (“we,” “us,” “our”). These Terms of Service (“Terms”) govern your use of our website, services, and platform (collectively, the “Services”). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, you may not use the Services.

1. Eligibility & Use

  1. Eligibility. You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Services. By using the Services, you represent and warrant that you satisfy these requirements.

  2. Account Registration. To access certain features, you may need to register for an account. You agree to provide accurate, current, and complete information, and to maintain and promptly update your account information.

  3. Account Security. You are responsible for safeguarding your password and other credentials. You agree to notify us immediately of any unauthorized use or security breach of your account.

  4. Lawful Use. You agree to use the Services only for lawful purposes and in compliance with all applicable laws, rules, and regulations.

2. Services & Access

  1. Provision of Services. We may change, suspend, or terminate all or part of the Services at any time, for any or no reason, without prior notice. We will make efforts to notify users when appropriate.

  2. Restrictions & Prohibited Conduct. Without limiting the foregoing, you agree not to:

    • Use the Services to engage in any illegal, harmful, or fraudulent activity.

    • Infringe or misappropriate the intellectual property rights of others.

    • Interfere with or disrupt any part of the Services or servers/networks connected to them.

    • Use bots, scrapers, crawlers, or automated means to access or collect data from the Services.

    • Impersonate another person or misrepresent your affiliation with any person or entity.

    • Transmit any viruses, worms, malware, or other harmful code.

  3. Third-Party Services. Our Services may integrate or interface with third-party services (e.g., payment gateways, APIs, social media). Your use of such third-party services is subject to their terms and conditions as well.

3. Payments, Fees & Refunds (if applicable)

  1. Fees. If any part of the Services requires payment, you agree to pay all applicable fees and taxes. You authorize us to charge your chosen payment method.

  2. Billing & Payment Terms. We may change our pricing or billing terms at our discretion, with notice. You are responsible for all fees incurred before any such change.

  3. Refunds. Refund policies, if any, will be as set out in our separate Refund Policy. Unless stated otherwise, all fees are non-refundable.

4. Intellectual Property

  1. Ownership. All content, software, logos, trademarks, and materials on or used in connection with the Services (“Our Content”) are the property of TranscoLabs or its licensors and are protected by copyright, trademark, and other laws.

  2. License to You. Subject to your compliance with these Terms, we grant you a limited, revocable, nonexclusive, nontransferable license to access and use the Services for your personal or internal business purposes.

  3. Your Content. You retain ownership of any content you upload or submit (“Your Content”). By submitting Your Content, you grant us a worldwide, non-exclusive, royalty-free, sublicensable license to use, reproduce, modify, display, and distribute it in connection with operating, promoting, and improving the Services.

  4. Infringement Claims. If you believe Your Content has been used in a way that infringes your rights, please notify us using the contact information below with sufficient detail, and we will respond as required by applicable law.

5. Disclaimers & Limitations of Liability

  1. As-Is / No Warranty. THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

  2. Limitation of Liability. Under no circumstances shall TranscoLabs, its officers, directors, employees, agents, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages (including, without limitation, loss of profits, data, or business opportunity), whether in contract, tort, or any other theory, even if we have been advised of the possibility of such damages. Our aggregate liability to you for direct damages shall not exceed the total fees paid by you (if any) in the 12 months preceding the claim.

  3. Business Use. If you use the Services for business purposes, you agree that the disclaimers, limitation of liability, and indemnification provisions apply fully to your business use and you waive any contrary legal protections to the extent permitted by law.

6. Indemnification

You agree to defend, indemnify, and hold harmless TranscoLabs, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys’ fees) arising from or relating to:

  • Your breach of these Terms;

  • Your use of the Services (or third-party integrations);

  • Your violation of any law or third-party rights.

7. Termination

  1. Termination by Us. We may suspend or terminate your access at any time, with or without cause, and without prior notice.

  2. Effect of Termination. Upon termination, your rights and licenses under these Terms immediately cease. You must stop all use of the Services, and we may delete or disable access to your account and content.

  3. Survival. The provisions that by their nature survive termination (e.g. Intellectual Property, Disclaimers, Limitation of Liability, Indemnification) will continue in full force.

8. Governing Law & Dispute Resolution

  1. Governing Law. These Terms are governed by and construed in accordance with the laws of [State / Country], without regard to conflict of laws principles.

  3. Assignment. You may not assign your rights or obligations under these Terms without our prior written consent. We may assign to affiliates or successors without your consent.

  4. Entire Agreement. These Terms, along with any policies we incorporate by reference (e.g. Privacy Policy, Refund Policy), constitute the entire agreement between you and us regarding the Services.
